1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your use of the website, products and services offered by Sparse Systems Private Limited ("Sparse Systems", "we", "us"). By accessing our website, submitting an enquiry, signing a proposal or making a payment, you agree to be bound by these Terms.
If you are entering into an engagement on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Scope of Services
Sparse Systems provides IT services including — but not limited to — cloud and infrastructure engineering, custom software development, web and mobile application development, cybersecurity, data engineering, digital marketing, design and managed support.
The specific scope, deliverables, timelines and fees for any engagement are defined in a written proposal or quotation issued by us and accepted by you. In case of any conflict between these Terms and a signed proposal, the proposal prevails for that engagement.
3. Quotations & Proposals
Quotations are valid until the date stated on the quotation document. Prices quoted are exclusive of applicable taxes (GST) unless expressly stated otherwise.
Any requirement not written in the accepted quotation is out of scope. Additional requirements are estimated separately and billed only after your written approval.
4. Payments
Unless otherwise agreed in writing, engagements begin with a 50% advance and the remaining 50% becomes due on completion, before production handover. Managed support and retainers are billed monthly in advance.
- Invoices are payable within 7 days of issue unless the invoice states otherwise.
- Work may be paused on accounts with invoices overdue by more than 15 days.
- All payments are to be made to the bank account or UPI ID stated on the invoice — we never ask for payment to personal accounts.
5. Client Responsibilities
Timely delivery depends on timely inputs. You agree to provide access, content, credentials, approvals and feedback within the timelines agreed in the project plan. Delays in inputs may proportionally shift delivery dates without penalty to us.
6. Intellectual Property
On receipt of full payment, the intellectual property in custom deliverables created specifically for you under an engagement is assigned to you, excluding our pre-existing tools, frameworks, libraries and know-how, which remain ours and are licensed to you for use within the deliverables.
Third-party and open-source components remain governed by their own licenses. We identify material third-party components on request.
7. Confidentiality
Each party agrees to keep the other’s non-public business, technical and financial information confidential, and to use it only for the engagement. This obligation survives the end of the engagement for three (3) years. We are happy to sign a mutual NDA before discussing your project.
8. Warranty & Support
Custom software deliverables carry the warranty period stated in the quotation (typically 30–90 days from handover), during which we fix defects attributable to our work at no cost. The warranty does not cover issues caused by third-party changes, unauthorised modification, or use outside the documented scope.
9. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of an engagement is limited to the fees actually paid by you for that engagement in the six (6) months preceding the claim. Neither party is liable for indirect, incidental or consequential damages, or loss of profits, data or goodwill.
10. Termination
Either party may terminate an engagement with 15 days’ written notice. On termination you pay for work performed up to the effective date, and we hand over work-in-progress deliverables for everything paid for.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts at Lucknow, Uttar Pradesh.
